Acquisition Finance Manager

We are a large Veterinary Group in the UK and Ireland with over 300 practices. We are constantly expanding and are looking for Acquisition Finance Manager to join the team to help deliver on this success.

The role involves working closely with the Group Finance Director to deliver and control all of the financial and tax activities within the surgery acquisition process. You will ensure high quality surgery groups are acquired at appropriate multiples with a full understanding of all financial and tax matters from the due diligence process whilst protecting the company from on boarding inappropriate activities / processes with all risks managed and mitigated.
 
Role responsibilities would include:
  • Management of the two outsourced Financial Due Diligence (FDD) providers, to ensure FDD is completed in line with IVC processes and timescales and they are resourced to meet the needs of IVC and never slow the pace of acquisitions.
  • Review and recommendation to the Finance Director to approve FDD and the associated Investment proposals.
  • Management of the outsourced Tax Due Diligence (TDD) providers
  • Review and recommendation to the Finance Director to approve TDD.
  • Working with the lawyers to identify as early as possible where acquisitions may have a consumer credit licence and require FCA change of control.
  • Working with the lawyers in the early stages of due diligence to flush out complex legal structures and ensuring the legal structures we are on boarding are properly understood,
  • Ensuring all acquisitions are compliant with our Investor agreement and Banking agreement
  • Reviewing disclosure letters and LDD for any financial or tax matters of concern
  • Reviewing and signing off funds flow and drawing money from our banking facility for completion
  • Ensuring all financial, tax and legal matters identified during DD are documented and properly handed over to the relevant post completion team
  • Ensuring vital data collected during diligence plus all legal completion documents are transferred across into our systems post completion in a timely manner
  • Ensuring investments cases are properly handed across into the main Finance team and communicated fully.
  • Being the “balance” and the guardian of the financials to ensure the acquisitions team remain financially disciplined
 
Required Qualifications and Personal Skills for this role are:
  • Educated to graduate degree level, including completion of professional accounting qualification
  • Experience in Big Four Public Accounting in Transaction Services and must have significant end to end deal experience in both due diligence and coordinating the efforts of multiple deal participants
  • Experience of working in a private equity or other corporate acquisition role integrating business acquisitions into portfolio or platform
  • Building complex financial models as well as reviewing models prepared by other members of the acquisitions team
  • Producing information memoranda and due diligence reports
  • Managing finance functions – preferably in a financial director role – in small or medium businesses, particularly in overseeing back office functions, payroll, process improvement, budgeting, and financial reporting
  • Reviewing legal documents and drafting Sale and Purchase Agreements. Must have experience liaising with counterparty legal teams. Demonstrate ability to construct and present EV to equity bridges to internal teams and Sellers
  • Drafting employee contracts, as well as reviewing employee contracts for potential issues, complications, or breaches
  • Understanding of complex legal structures, preferably experience in establishing legal entities    
  • Broad understanding of legal and tax matters sufficient to be able to identify issues when presented and challenge both lawyers and tax advisors in their areas of expertise.
  • Broad knowledge of the small animal healthcare sector including relevant financial sponsors, major players, recent history, recent transactions, industry projections, current challenges, etc.
  • Strong attention to detail, and able to deliver right-first-time results quickly without getting lost in the detail
  • Deadline focussed, and willing to put in the effort required to ensure they always meet them
  • Comfortable working within a clinical environment where compassion is a requirement
  • Enthusiasm for working with veterinarians
